Preorder Agreement

This Preorder Agreement ("Agreement") is entered into by and between the customer ("You" or "Buyer") and GRAD Aeronaut LLC ("Company"), a Delaware limited liability company, for the reservation of a Sinbad aircraft kit.
1. Purpose
This Agreement governs your reservation of a Sinbad aircraft kit. The purpose of this preorder is to confirm demand, collect feedback, and involve early homebuilders in the development of the project.
2. Buyer Status
By selecting a buyer status, you reserve a place in the production queue and may receive benefits, including a fixed price, event invitations, and personalized items. The available statuses are published on the website and may be changed for new buyers without prior notice.
3. Price and Composition
The base price of the aircraft kit is $85,000. The first 100 buyers may obtain a fixed price of $42,500 by placing a qualifying preorder. The price for subsequent buyers will be adjusted. The exact composition of the kit may be refined during further development.
The following components are not included unless explicitly stated: engine and related systems, propeller, wheels, braking, fuel and ballistic parachute systems, lighting systems, position and navigation lights, painting, and avionics.
Delivery of the completed order from the Company’s warehouse is not included in the purchase price and must be arranged and paid for separately by the Buyer.
At this time, the Company is located in the State of Delaware. However, by the time of delivery, the warehouse address may change, or an additional warehouse may be added.
4. Payment and Refunds
Your payment secures your position in the queue and any associated benefits. Payments are refundable only in accordance with our Refund Policy, which is available separately on the website.
The Buyer is obligated to pay 50% of the remaining aircraft kit cost within three months after the Company sends a notice of readiness to proceed with their order. Failure to make this payment within the specified period may result in cancellation of the order without refund of the initial deposit.
From the moment the Company sends the final notification that the order is ready for pickup, the Buyer must complete the final payment and collect the kit within thirty (30) calendar days. If the kit is not paid for and collected within this period, the Company may sell the kit under new terms and refund the Buyer a proportion of the resale amount equivalent to the paid share of the full kit price, less applicable overhead costs.
Partial payment of any installment is not considered by the Company as a valid payment.
5. Disclaimer of Liability and Warranty
The Company does not guarantee the airworthiness, legality, or performance of the completed aircraft. The Buyer assumes full responsibility for final assembly, inspections, maintenance, flight testing, registration, and operational safety.
6. Communications
By placing a preorder, you agree to receive updates, invitations, and notifications by email.
All updates and order status changes are published on the personal page of the Buyer on [gradaeronaut.com]. It is the Buyer’s responsibility to check it regularly.
7. Authorized Payment Agents
To ensure secure and accessible transactions, GRAD Aeronaut LLC may use authorized agents to collect payments on its behalf, including affiliated individuals or entities.
Any payment made to such an authorized agent shall be deemed a valid payment to GRAD Aeronaut LLC and grants the same buyer rights and benefits.
Details of the payment agent, if applicable, are indicated in the invoice, payment instructions, and the customer dashboard.
8. Transferability
Your preorder may be transferred, gifted, inherited, or traded with prior notification to the Company. It can also be used as a form of investment in future value without loss of benefits.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA.
